Acceptance and Definitions


The Terms apply to advertisements in:
1.1. any media installed at Azalea Joint Venture, LLC (hereafter referred to as ‘Azalea’); and/or
1.2. a website/application or press release associated with any media installed at ‘Azalea’; and/or
1.3. any media in respect of which ‘Azalea’ has the rights to broadcast/install advertising during the year (including but not limited to any of the following: Digital Directories, Digital Billboards, Site ID Digital Billboard, Wallscapes 

(collectively “Relevant Media”). (each an “Advertisement”, together the “Advertisements”).
1.4. By signing an order form (the “Confirmation of Order”) the Advertiser (being the person placing the order for the Advertisement, whether they are the advertiser of the product or service referred to in the Advertisement, or the advertising agency or media buyer for the Advertiser) accepts and agrees to be bound in full by the terms and license agreement within
1.5. The Terms are final and binding and no variations will be allowed unless expressly agreed by prior written consent.

2. Charges & Payments
2.1. All Advertisements are accepted on the basis that they will be paid for by no later than the Payment Terms as set out in the Confirmation of Order, unless otherwise agreed in writing.
2.2. If credit terms are granted by ‘Azalea’, it reserves the right to withdraw this facility at any time.
2.3. ‘Azalea’ s standard credit terms require payment of a deposit to be received as cleared funds within seven (7) days from date of the relevant Confirmation of Order. The amount of the deposit is a 50% of the total cost of the service and it is not refundable, unless otherwise agreed in writing.
2.4. Any outstanding balance of the invoice will have to be cleared not later than the first day of broadcasting/installation in the venue with receiving photographic proof of broadcasting/installation, unless otherwise agreed in writing.
2.5. Any payment, fee, tax, or retention that for tax purposes is applicable to the Advertiser in his jurisdiction, shall be strictly for the account of the Advertiser, without in any way being deductible from the payment.
2.6. Invoices shall be paid in full. Any taxes, bank charges or other deductions shall be strictly for the account of the Advertiser.
2.7.All invoices shall be paid by the Advertiser in the same currency of the relevant invoice. Any foreign exchange losses or charges shall be strictly for the account of the Advertiser.
2.8. If the Advertiser fails to pay any amounts due, ‘Azalea’ reserves the right to charge interest calculated at the rate of 15% per annum and remove advertising/content at sole discretion
2.9. ‘Azalea’ may, in its absolute discretion, revise the prices charged for the Advertising at any time. These revised prices will not apply to any Confirmation of Orders signed prior to the date of such change.

3. Cancellations
3.1. An order may be cancelled by notification in writing up to 30 days prior to the date of broadcast/installation (as set out in the Confirmation of Order). The cancellation fee corresponds to 65% of the total cost of the service.
3.2. Orders cannot be cancelled less than 30 days prior to the date of broadcast/installation, for any reason including a failure to provide the copy of material or to make payment in accordance with the agreed terms.

3.3. Partial cancellation of any price discounted Order for yearly contracts will result in the remaining Advertising being invoiced at rate card in accordance with the ‘Azalea’ media pack.

4. Provider & Advertiser Obligations, Limits of Liability and Indemnities
4.1. All bookings are subject to airtime/wallscapes being available and requisite approval of copy of material by ‘Azalea’.
4.2. ‘Azalea’ reserves the right not to publish the Advertisement at any time for any reason.
4.3. If a booked Advertisement is not broadcasted/installed at all solely due to a mistake on ‘Azalea’ s part, ‘Azalea’ will try to offer an alternative broadcasting/installation date. If the alternative date is not accepted by the Advertiser, the original booking will be cancelled and the Advertiser shall be entitled to a full refund if the Advertiser has paid in advance for the Advertisement. This shall be the Advertiser’s sole remedy for failure to broadcast/install the Advertisement.
4.4. If the Advertisement as reproduced by ‘Azalea’ contains a substantial error solely due to a mistake on ‘Azalea’ s part, ‘Azalea’ shall, on request, re-broadcast/install the Advertisement at no additional cost to the Advertiser. ‘Azalea’ shall not be responsible for repetition of errors and it is the Advertiser’s responsibility to inform ‘Azalea’ of any errors and provide any necessary assistance to ‘Azalea’ to prevent a repeat of the error.
4.5. Should the Advertisement not be broadcasted/installed due to the act or default of the Advertiser (or its suppliers or agents), then the Advertisement shall be paid for in full not withstanding that the Advertisement has not been broadcasted/installed by ‘Azalea’.
4.6. Under no circumstances shall ‘Azalea’ be liable for economic, consequential or special damages (including for any loss of profit, loss of opportunity, loss of goodwill, loss of anticipated saving and/or loss of revenue). The maximum liability of ‘Azalea’ arising under or in connection with these Terms (whether for damages or breach of contract or otherwise) shall be limited to the actual price paid by the Advertiser for the relevant Advertising.
4.7. ‘Azalea’ reserves the right to destroy any advertising material that has been in its custody for six months.
4.8. ‘Azalea’ will endeavor to reproduce Advertisements as provided by the Advertiser but cannot guarantee that the Advertisement will be identical.
4.9. ‘Azalea’ will not be responsible for any additions to, changes in, deletions from, delays in publication or withdrawal of any Advertisements that are required by any person or body that has the authority to regulate or control the Advertising.
4.10. Unless expressly stated in the Confirmation of Order, ‘Azalea’
cannot guarantee the time of broadcasting of the Advertisements and all such decisions will be at the sole discretion of ‘Azalea’. ‘Azalea’ will, however, endeavor to comply with the wishes of the Advertiser.
4.11. No alteration to, or modification of artwork will be made possible by ‘Azalea’ once final copy of material and its relative approval by the Advertiser, in writing, has been supplied.
4.12. ‘Azalea’ does not accept liability for any errors in any Advertisement which has been submitted for publication by or on behalf of the Advertiser.
4.13. ‘Azalea’ will deliver a photographic proof of broadcasting/installation (a ‘jpg’ image), with the invoice relative to the broadcasting/installation of the advert, to every Advertiser.
4.14. ‘Azalea’ will supply videos of the broadcasting/installation upon request.
4.15. The obligation of the Advertiser to pay for its advertising in accordance with the agreed terms shall not be conditional on the receipt of videos.
4.16. ‘Azalea’ expressly does not guarantee the level of response in any form of advertising, nor the number of viewers per adverts but will provide statistical data in form of a “post-event report” providing costumer reach and relevant feedbacks during the period of broadcast/installation.
4.17. For the avoidance of doubt, nothing in these Terms will limit or exclude ‘Azalea’ s responsibility for death or personal injury resulting from its own negligence, fraud or any other liability that cannot be excluded.
4.18. The Advertiser agrees to indemnify ‘Azalea’, its parent, subsidiaries, affiliates, officers and employees fully in respect of any claim made against them arising from, or in connection with, the Advertiser’s breach of failure to perform any of these Terms and/or the broadcast/installation of the Advertisement by ‘Azalea’, such indemnity to include all legal costs in defending any such claim.
4.19. Advertiser grants ‘Azalea’ the right to (i) use the Advertiser’s name, trademarks and/or logos as ‘Azalea’ may consider necessary for the purposes of broadcasting/installation the Advertisement and (ii) to reproduce the Advertisement in any media for promotional purposes.
4.20. The Advertiser confirms that it has contracted to buy the Advertising exclusively on the basis of the information provided by ‘Azalea’ and that it is not relying upon any other representation or warranty.
4.21. The signatory of the Confirmation of Order confirms that he/she is acting with the full authority of the Advertiser and is not acting ultra vires.
4.22. The Advertiser guarantees to ‘Azalea’ that (i) any information provided in connection with the Advertising is accurate complete, true and not misleading; (ii) it has obtained the consent of any living person whose name or image (in whole or in part) is contained in any Advertisement; (iii) the Advertisements are legal, decent, honest and truthful and are not contrary to the provisions of any relevant law, regulation or code of practice, and are not libelous or obscene and do not infringe the rights of any person (including any person’s intellectual property rights); (iv) the Advertising is not prejudicial to the image or reputation of the Provider or any of its affiliates; and (v) all Advertisement material submitted digitally for production will be free of any viruses..
4.23. The Advertiser is responsible for the delivery of the copy of material and its relative approval for broadcasting/installation by the Copy Deadline specified in the Confirmation of Order to ‘Azalea’.
The Advertiser accepts the Copy Deadline and the copy of material technical specifications and requirements. Technical specification sheet and requirement will follow upon receipt of the Confirmation of Order by email to the Artwork Contact specified in the Confirmation of Order.

 

4.25. Advertiser indemnifies azalea for any deemed “offensive” content displayed. 


4.24. If no date is specified in the Confirmation of Order, the copy of material

must be submitted in appropriate format at latest 45 days before the date of broadcasting/installation.
4.26. All costs incurred by ‘Azalea’ for the production of the Wallscapes Advertisements will be charged to the Advertiser regardless of whether the advertisement will be installed or not. This cost corresponds to a minimum of $5,000 USD to a maximum of $15,000 USD per each; the amount is to be considered a penalty clause.

5. Force Majeure
5.1. ‘Azalea’ shall not be liable for any delay in performance, part performance or non-performance of its obligations under the contract to the extent that the delay or non-performance or part performance is due to Force Majeure (being events outside the reasonable control of ‘Azalea’ including, without limitation, closure of venue, terrorist attacks, acts or omissions of a third party contractor of ‘Azalea’, acts of god and governmental or regulatory authority action).

6. Other
6.1. The Terms of this agreement will survive any termination of the agreement.
6.2. Broadcast/installation of an Advertisement by ‘Azalea’ does not mean that ‘Azalea’ accepts that the Advertisement has been provided in accordance with the Terms or that ‘Azalea’ has waived its rights under the Terms.
6.3. Telephone calls to and from ‘Azalea’ may be recorded for training purposes and dispute resolution.
6.4. This Agreement will be construed in accordance with, and governed by, the laws of the State of California as applied to contracts that are executed and performed entirely in California.

 

7. Description of Leased Area. For area of MPO in the shopping center commonly known as Azalea Shopping Center ("Shopping Center") located in the City of Southgate, County of Los Angeles, State of California more particularly described in Exhibit "B" attached hereto and incorporated herein by this reference("Leased Area"). 

 

8. Permit to Enter Leased Area.  Licensor grants to Licensee a non-exclusive revocable license to use the Leased Area for the sole purpose set forth in Paragraph 5 hereof and for no other purpose, subject to Licensee's compliance with all of the terms of this License Agreement.  Licensee shall not permit any other person, except Licensee's employees and customers, to use the Leased Area without Licensor's prior written consent.

 

9. Use.  The Leased Area shall be used by licensee solely for the purpose of placing advertisement provided or procured by Licensee, as described in Exhibit “B”

 

10. Condition of Leased Area.  Licensee accepts the Leased Area in an "as is" condition.  Licensor expressly disclaims any warranty or representation with regard to the condition, safety, security or suitability for Licensee's intended use of the Leased Area or the Shopping Center.

 

11. Regulation.  Licensee shall obtain, at its sole cost and expense, any and all governmental permits and authorizations of whatever nature required by any governmental agencies having jurisdiction over Licensee's use of the Leased Area.  Licensee, at its sole cost, will comply with all applicable governmental laws and regulations.  

 

12.Improvements.   No changes, modifications or alterations from approved plans and specifications may be made without Licensor's prior written approval.  No approval by Licensor of any plans or specifications shall constitute (a) approval of architectural or engineering sufficiency or representation, or (b) warranty by Licensor as to the adequacy or sufficiency of the plans and specifications or the improvements contemplated for Licensee's use or purpose.  .

 

13.Liens.  Licensee shall not permit to be placed against the Leased Area or the Shopping Center, or any part of the Leased Area or the Shopping Center, any mechanics', materialness', contractors' or subcontractors' liens.  Licensee shall indemnify, defend and hold Licensor harmless from all liability for any and all liens, claims and demands, together with the costs of defense and reasonable attorneys' fees related to same.  Notwithstanding anything to the contrary set forth above, if Licensee in good faith desires to contest the validity of any lien, then Licensee shall procure, record and furnish to Licensor a surety bond or other security satisfactory to Licensor in an amount equal to at least one and one half (1-1/2) times the amount of the contested lien, claim or demand, which bond or other security shall discharge the lien of record and hold the Leased Area free from the effect of the lien or claim.  Licensor reserves the right, at any time and from time to time, to post and maintain on the Leased Area, any portion thereof or on the improvements on the Leased Area, any notices of non-responsibility or other notice as may be desirable to protect Licensor against liability.  In addition to and not in limitation of Licensor's other rights and remedies under this License Agreement, should Licensee fail, within ten (10) days of a written request from Licensor, either to discharge any lien or claim related to Licensee's use of the Leased Area or to bond for any lien or claim as provided above, or to indemnify, hold harmless and defend Licensor from and against any loss, damage, injury, liability or claim arising out of Licensee's use of the Leased Area as provided above, then Licensor, at its option, may elect to pay any lien, claim, loss, demand, injury, liability or damages, or settle or discharge any action or satisfy any judgment, and all costs expenses and attorneys' fees incurred in doing so shall be paid to Licensor by Licensee upon written demand, together with interest thereon at a rate of twelve percent (12%) per annum from the date incurred or paid through and including the date of payment.

 

14. Indemnity.  Licensee shall indemnify, defend and hold Licensor harmless from any loss, damage, injury, accident, casualty, liability, claim cost or expense (including, but not limited to, reasonable attorneys' fees) of any kind or character to any person or property arising from or related to any act or omission of Licensee, its employees, agents or contractors.  Licensor shall not be responsible for any loss or theft of any property on the Leased Area.  Licensee waives all claims or demands against Licensor for any loss, damage or injury to Licensee or Licensee's property and agrees to so indemnify and hold Licensor harmless.

 

15. Termination and Remedies.  If Licensee is in breach of any of its obligations under this License Agreement and fails to cure such breach within forty-eight (48) hours of receipt of written notice from Licensor specifying the nature of the breach [or commence to cure and diligently pursue such cure to completion if such cure takes over forty-eight (48) hours], Licensor shall have the right to terminate this License Agreement by written notice to Licensee.  In the event of termination due to a breach by Licensee of any provision of this License Agreement, Licensor may re-enter and take possession of the Leased Area and remove all persons and things.  Licensor may also seek all other remedies available at law or in equity including, but not limited to, a suit for damages or an action for specific performance or injunction.  All remedies provided in this License Agreement or by law or in equity shall be cumulative and non-exclusive.

 

16. Inspection.  Licensor and its representatives, employees, agents or independent contractors may enter and inspect the Leased Area or any portion of the Leased Area or any improvements on the Leased Area at any time and from time to time.

 

17. Non-Assignment.  Licensee may not assign, sublet or otherwise transfer its interest under this License Agreement.  Any attempted assignment, sublet or transfer made in violation of this provision shall be null and void.

 

18. Costs of Enforcement.  If it is necessary for either party to employ an attorney to commence an action to enforce any of the provisions of this License Agreement, the non-prevailing party agrees to pay all costs of such action including, but not limited to, court costs and reasonable attorney's fees.

 

19. Notices.  All notices, consents, submissions for approvals, requests, demands and other communications provided for in this License Agreement shall be in writing and shall be deemed to have been duly given and received if and when personally served or forty-eight (48) hours after being deposited in the United States mail, certified, return receipt requested, postage prepaid, addressed to the intended party at:

20. Miscellaneous.  This License Agreement constitutes the entire agreement between Licensor and Licensee pertaining to the subject matter of this License Agreement and supersedes all prior and contemporaneous agreements, representations and understandings of Licensor and Licensee, oral or written.  No supplement, modification or amendment of this License Agreement shall be binding unless in writing and executed by Licensee and Licensor.  No waiver of any provision of this License Agreement shall constitute a continuing waiver or waiver of any other provision.  This License Agreement shall be construed and enforced in accordance with, and governed by, the laws of the State of California.  The headings of this License Agreement are for purposes of reference only and shall not limit or define the meaning of any provision.  This License Agreement may be executed in any number of counterparts, each of which shall be deemed an original, and all of which shall constitute one and the same instrument.  Neither this License Agreement nor a short form memorandum of this License Agreement shall be filed or recorded in any public office.

 

21. Execution.  Licensor and Licensee have executed this instrument as of the date first above written.

 

 

 

 

1. Aceptación y definiciones
Los Términos son de aplicación para los anuncios en:
1.1.cualquiera de los medios instalados en Azalea Group(a partir de ahora ‘Azalea’); y/o
1.2. un sitio web/aplicación o comunicado de prensa asociado con cualquiera de los medios instalados en ‘Azalea’ ‘L.I.T.’; y/o
1.3.cualquier medio en relación con el cual ‘Azalea’ posee los derechos de trasmitir/instalar publicidad durante el ano (incluyendo Digital Directories, Digital Billboards, Site ID Digital Billboard, Wallscapes; (colectivamente denominados “los Medios pertinentes”).
(individualmente denominados un “Anuncio” y colectivamente denominados los “Anuncios”).
1.4.Mediante la firma del formulario de pedido (la “Confirmación de pedido”), el Anunciante (que es la persona que efectúa el pedido del Anuncio, ya se trate del anunciante del producto o servicio al que se refiere el Anuncio o bien la agencia de publicidad o encargado de compras de medios para el Anunciante) acepta y consiente a someterse plenamente a los presentes Términos.
1.5.Los Términos son definitivos y de carácter vinculante y no se permitirá variación alguna a menos que ésta sea aceptada expresamente por anticipado mediante consentimiento escrito.

2. Precios y pagos
2.1.Todos los Anuncios serán aceptados con la condición de que sean abonadas de acuerdo a las Condiciones de Pago estipuladas en la Confirmación de pedido, a menos que se convenga lo contrario por escrito.
2.2.En el supuesto de que ‘Azalea’ conceda crédito, se reserva el derecho de retirar esta prestación en cualquier momento.
2.3.Los términos de crédito estándar de ‘Azalea’ requieren que un deposito del pago sea recibido dentro de los siete (7) días a partir de la fecha de de la Confirmación de pedido. El monto del deposito corresponde al 50% del total del costo del servicio y la suma no es reembolsable, a menos que se convenga lo contrario por escrito.
2.4. Cualquier balance pendiente de la factura será liquidado con el primer dia de estreno/installacion en ‘Azalea’ con recibir prueba fotografica del estreno/instalacion, a menos que no se acuerde lo contrario por escrito.
2.6. Cualquier pago, impuesto, tasa, y o retención que por concepto de impuestos aplicables en el país del contratatante, correrán por cuenta exclusiva de este, sin que de forma alguna se pueda retener, deducir del pago.
2.7.Las facturas deberán abonarse por completo. Todos los impuestos, comisiones bancarias o deducciones de otro tipo deberán correr estrictamente por cuenta del Anunciante.
2.8.Los Anunciantes deberán abonar las facturas en la misma divisa que figura en la factura correspondiente. Cualquier pérdida por fluctuaciones cambiarias o gasto relativo al cambio de divisas deberán correr estrictamente por cuenta del Anunciante.
2.9.En el supuesto de que el Anunciante incumpla el pago de alguna suma adeudada, ‘Azalea’ se reserva el derecho de cobrar intereses calculados a razón de una tasa del 15% anual.
2.10. ‘Azalea’, a su absoluta discreción, podrá revisar los precios cobrados por la Publicidad en cualquier momento. Dichos nuevos precios no serán aplicables a ninguna Confirmación de pedido firmada con anterioridad a la fecha de dicha modificación.

3. Cancelaciones
3.1.Los pedidos pueden cancelarse por el anunciante mediante notificación escrita hasta 30 días antes de la fecha de estreno/installacion (estipulada en la Confirmación de pedido). La cuota de cancelacion corresponde al 65% del coste total del servicio.
3.2. Los pedidos no pueden cancelarse con menos de 30 dias de notificacion, per ninguna razon incluyendo imposibilidad de entrega de la copia del material grafico o de poder hacer frente al pago segun los terminos estipulados en la confirmacion del pedido.  

3.3.La cancelación parcial de cualquier reserva anuál incluyendo un descuento del precio conllevará a que el resto de la Publicidad se facture al precio de lista de conformidad con el material informativo de ‘Azalea’.

4. Obligaciones, limitación de responsabilidades e indemnizaciones de ‘Azalea’ y del Anunciante
4.1.Todas las reservas quedan pendientes de que haya espacio de aire disponible y de la aprobación del material grafico por parte de ‘Azalea’.
4.2. ‘Azalea’ se reserva el derecho de no transmitir/instalar el Anuncio en cualquier momento por cualquier motivo.
4.3. En el supuesto de que un Anuncio reservado no sea transmitido/instalado en absoluto simplemente a razón de un error por parte de ‘Azalea’, ‘Azalea’ intentará ofrecer una fecha de publicación alternativa. En caso de que la fecha alternativa no sea aceptada por el Anunciante, la reserva original quedará cancelada y el Anunciante tendrá derecho a un reintegro total de todo lo pagado hasta ese momento por el Anunciante. Esta constituirá la única reparación para el caso de no transmitir/instalar el Anuncio.
4.4.En el supuesto de que un Anuncio transmitido/instalado por ‘Azalea’ contenga un error sustancial simplemente por equivocación de ‘Azalea’, ésta, a pedido del interesado, volverá a transmitir/instalar el Anuncio sin coste adicional para el Anunciante. ‘Azalea’ no será responsable de la repetición de errores, y el Anunciante será el responsable de informar a ‘Azalea’ de cualquier error y de proporcionar la asistencia necesaria a ‘Azalea’ para evitar que se repita el error.
4.5.En caso de que el Anuncio no se transmita/instale debido a una acción u omisión del Anunciante (o sus proveedores o agentes), el precio del Anuncio deberá cancelarse a ‘Azalea’ en su totalidad a pesar de que el Anuncio no ha sido transmitido/instalado por ‘Azalea’.
4.6. ‘Azalea’ no será responsable bajo ninguna circunstancia de daños y perjuicios económicos, consecuentes o especiales (incluyendo la pérdida de ganancias, pérdida de oportunidad, deterioro de la imagen de la empresa o marca, pérdida de ahorros previstos y/o pérdida de ingresos). La responsabilidad máxima de ‘Azalea’ directa o relacionada con estos Términos (ya sea por daños y perjuicios o incumplimiento de contrato o por alguna otra causa) se limitará al precio efectivamente abonado por el Anunciante por el Anuncio en cuestión.
4.7. ‘Azalea’ se reserva el derecho de destruir cualquier material publicitario que haya estado a su cuidado durante seis meses.
4.8. ‘Azalea’ hará todo lo posible por reproducir los Anuncios en la manera especificada por el Anunciante, pero no puede garantizar que el Anuncio será idéntico.
4.9. ‘Azalea’ no será responsable de agregados, cambios, eliminaciones, demoras en la publicación, o retiro de cualquier Anuncio que sean solicitados por cualquier persona u organismo que posea la autoridad para regular o controlar la Publicidad.
4.10. A menos que la Confirmación de pedido lo indique expresamente, ‘Azalea’ no puede garantizar el horario de los Anuncios, y todas las decisiones de esa índole serán tomadas a la exclusiva discreción de ‘Azalea’. Sin embargo, ‘Azalea’ intentará satisfacer los deseos del Anunciante.
4.11. ‘Azalea’ no realizará ninguna alteración o modificación del material gráfico una vez que la copia del material y su relativa aprobación por escrito, del Anunciante haya sido proporcionada.
4.12. ‘Azalea’ no acepta ninguna responsabilidad por errores en cualquier Anuncio que haya sido entregado para su publicación por o en nombre del Anunciante.
4.13. ‘Azalea’ entregará una prueba de estreno fotografica (una imagen jpg), con la factura relativa al estreno del Anuncio, a cada Anunciante.
4.14. ‘Azalea’ proporcionará videos del estreno a pedido del interesado.
4.15. La obligación del Anunciante de pagar su anuncio de acuerdo con los términos acordados no estará condicionada al recibo de los videos.
4.16. ‘Azalea’ expresamente no garantiza el nivel de respuesta de ninguna forma de publicidad, ni el número de impactos generados por Anuncio en estreno en los Medios pertinentes pero le enviara al Anunciante un ‘post-event report’ con informacion estadisticas sobre el alcance y el feedback de los consumidores durante el tiempo de transmission/instalacion.
4.17. Para evitar todo tipo de dudas, nada de lo expresado en los presentes Términos limitará o excluirá la responsabilidad de ‘Azalea’ en caso de fallecimiento o lesiones personales dimanantes de su propia negligencia, o en caso de fraude o cualquier otra responsabilidad que no pueda excluirse.
4.18. El Anunciante se compromete a indemnizar a ‘Azalea’, su sociedad matriz, subsidiarias, afiliados, funcionarios y empleados por completo con respecto a cualquier reclamación presentada contra ellos que dimane de, o con relación a, una omisión o incumplimiento del Anunciante con respecto a la ejecución de cualquiera de los Términos presentes y/o la publicación del Anuncio por parte de ‘Azalea’; dicha indemnización deberá incluir todos las costos judiciales de la defensa de dicha reclamación.
4.19. El Anunciante concede a ‘Azalea’ el derecho de (i) utilizar la denominación, las marcas comerciales y/o logotipos del Anunciante en la forma que ‘Azalea’ considere necesaria para los fines de publicar el Anuncio y (ii) reproducir el Anuncio en cualquier medio para fines promocionales.
4.20. El Anunciante confirma que ha contratado la compra de la Publicidad exclusivamente en base al material informativo proporcionado por ‘Azalea’ y que no se basa en ninguna otra obseveración o garantía.
4.21. El signatario o la signataria de la Confirmación de pedido confirma que actúa con la plena autorización del Anunciante y que no extralimita sus competencias.
4.22. El Anunciante garantiza a ‘Azalea’ que (i) cualquier información proporcionada con relación a la Publicidad es exacta, completa y verdadera y que no induce a engaño, (ii) ha obtenido el consentimiento de cualquier persona viva cuyo nombre o imagen esté contenido (en forma total o parcial) en algún Anuncio, (iii) los Anuncios son legales, decentes, honestos y veraces y no contradicen lo que estipulan las leyes, reglamentaciones o códigos de prácticas pertinentes, que no son difamatorios ni obscenos y que no infringen los derechos de ninguna persona (incluyendo los derechos de propiedad intelectual de ninguna persona), (iv) el Anuncio no perjudica la imagen ni la reputación de ‘Azalea’ ni de ninguno de sus afiliados, y (v) todos los Anuncios entregados digitalmente para su publicación estarán libres de virus.
4.23. El Anunciante es responsable de la entrega del material grafico a ‘Azalea’ en la fecha de Entrega de Material especificada en la Confirmación del Pedido. El Anunciante acuerda adherir estrictamente a los tiempos de entrega del material y proveder la copia del material según en acuerdo a las especificas proveidas por ‘Azalea’. Las especificas de la copia del material se le proveen con recibir la orden del pedido.
4.24. Si la Confirmación de pedido no especifica fecha alguna, el material grafico deberá entregarse en el formato apropiado 45 días antes de la fecha de estreno/instalacion.
4.25. Todo el material gráfico y las diapositivas se conservarán a riesgo del Anunciante, quien deberá asegurarlos contra pérdidas y daños por cualquier tipo de causa.

4.26. Todo coste en que incurra ‘Azalea’ a pedido del Anunciante para la producion de los Anuncios Wallscapes será cobrada al Anunciante independientemente de si el anuncio se instaleo o no. Este coste corresponde a un minimo de 5.000 dolares estadunidense hasta un maximo de 15.000 dolares estadunidense por cada uno, suma definida como clausula penal.

5. Fuerza mayor
5.1.
Azalea’ no será responsable por no poder cumplir alguna obligación dimanante del presente contrato si dicho incumplimiento es causado por alguna contingencia o circunstancia imprevista más allá del control razonable de ‘Azalea’, incluyendo sin limitarse a los siguientes: incendio, inundaciones, actos bélicos, hechos fortuitous o cualquier otro acontecimiento de fuerza mayor.

6. Cláusulas varias
6.1. Los Términos del presente contrato habrán de sobrevivir la eventual resolución del contrato.
6.2.El hecho de que ‘Azalea’ transmita/instale un Anuncio no implica que acepte que el Anuncio ha sido proporcionado de acuerdo con los Términos o que ‘Azalea’ ha renunciado a sus derechos dimanantes de los Términos.
6.3.Las llamadas telefónicas que origine y reciba ‘Azalea’ podrán ser grabadas con fines de formación y para dirimir controversias.
6.4. Este Acuerdo será interpretado de acuerdo con, y se rige por las leyes del Estado de California que se aplican a los contratos que se ejecutan y realizan enteramente en California.

 

If Licensee shall be a corporation, the authorized officers must sign on behalf of the corporation.  The agreement must be executed by the President or Vice President and the Secretary or Assistant Secretary, unless the by-laws or a resolution of the Board of Directors shall otherwise provide, in which event, the by-laws or a certified copy of the resolution, as the case may be, must be furnished.  Also, the appropriate corporate seal must be affixed.
